Terms of Service
1.Introduction
G MILLION (Thailand) Company Limited (individually and collectively, “G MILLION”, “we”, “us” or “our”) has set the terms and conditions for using the service. The service includes any services through software, platforms, websites, applications, or any service. Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of this site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this Agreement, then you may not access the website or use any services.
We reserve the right to modify the service at any time with advance notice to the user. In the case that the user continues to use our service, the user agrees to accept the new Terms of Service. We recommend that users always check the Terms of Service.
2.Virtual goods and game currency
a. Our services may allow you to earn virtual in-game currency (“Game Currency”) including the opportunity to earn virtual in-game digital items (“Virtual Goods”) by paying with real-world currency. The Game Currency and Virtual Goods may only be used for our services.
When you make a payment to receive the Game Currency or Virtual Goods, you acknowledge that you accept and agree that you are earning or purchasing the rights to the Game Currency or Virtual Goods. GAME CURRENCY AND VIRTUAL GOODS HAVE NO MONETARY VALUE AND CAN NOT BE REDEEMED FOR CASH. GAME CURRENCY AND VIRTUAL GOODS ARE NON-TRANSFERABLE, GIFTABLE, BARTERABLE, TRADABLE, OR OTHER METHODS.
b. If you purchase the Game Currency or Virtual Goods, you are deemed to have accepted and agree to this Agreement. If you comply with this Agreement, we will grant you with rights to use the Game Currency and Virtual Goods. Any access or use of Game Currency and Virtual Goods not authorized by this Agreement is a violation and may result in the termination of your account. We reserve and retain all rights, title, and interest to the Game Currency and Virtual Goods.
c. We reserve the right to modify Game Currency and Virtual Goods at our sole discretion. You acknowledge and agree that we have the right to take actions that may affect the perceived value or purchase value of the Game Currency and Virtual Goods at any time.
d. When you provide us with payment information, you authorize us to charge such payment method in full. You acknowledge and agree that any payment to receive Game Currency and Virtual Goods is non-refundable and non-transferable, except when required by applicable law. 3.Ownership of the Services
Our services including our content and games are owned by us or our licensors. Our services may let you upload, post, and store photos and other content that you own. You retain your ownership of this content, to which we take a license.
We and our affiliates and licensors own all title, ownership, and intellectual property rights in the services. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the services. You understand and agree that you have no ownership interest in the services, games, or content therein. Our services may have built-in mechanisms designed to prevent granting one user an unfair advantage over other users (these actions are “Cheating”, and the software is the “Cheat Detection Software”). We may add to or update our Cheat Detection Software periodically at our sole discretion. The services and/or the Cheat Detection Software may collect and transmit details about your game account, gameplay, and unauthorized programs or processes in connection with Cheating, subject to our Privacy Policy and applicable law. In the event that we conclude that you are cheating, you agree that we may exercise any or all of our rights, including termination of your access to our services. In addition, if you cheat in one game or service, we may terminate your license to use all our games and services.
4.Changes to Terms of Service
You can review the most current version of the Terms of Service at any time at this page. We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
5.Intellectual property rights
THIS AGREEMENT DOES NOT TRANSFER ANY INTELLECTUAL PROPERTY owned by G MILLION Co., LTD. or any third party. Intellectual Property includes not limited to all trademarks, service marks, graphics, and logos, whether registered or unregistered. Your use of the Mobile Applications and Services grants you no right to reproduce or use any of G MILLION Co., LTD. or third-party intellectual property.
6.Inappropriate user behavior
a. G MILLION holds you accountable for your own behavior and language, encourages you to play G MILLION Games in a healthy and civilized manner, and strictly prohibits you from any improper or objectionable behavior. You are prohibited from, in any way, claiming to be our employee, disseminating false information either to G MILLION or third parties, spreading vulgar information, posting illegal websites, spam advertisements or any information or materials involving drugs or otherwise attack, or threatening or insulting a portion or all of the users. Any dissemination of plugins, Trojan horse programs, or any other kind of viruses is also strictly prohibited.
b. You are prohibited from engaging in the following activities both directly and indirectly:
i. vulgar expressions, coarse language, abusive behavior, verbal harassment, either towards G MILLION or other users;
ii. use of any unapproved payment methods;
iii. use of cheating programs or other malicious game programs;
iv. dissemination of information or materials that violate popular customs, religious beliefs, habits or social morality of a portion or group of the public;
v. disclosure, furnishment, or dissemination of our or other users' non-public information to third parties; and/or
vi. any other inappropriate behavior or language that may damage the reputation of G MILIION.
c. We reserve the right, but are not obligated, to mediate, resolve, or otherwise get involved in disputes between users. Depending on the situation, G MILLION may take actions, including, but not limited to, sending a warning, blocking communications, suspending, taking down, banning or terminating your account temporarily or permanently, blocking logins, or deleting game files. We reserve and maintain the final right to interpret and take actions at our sole discretion.
d. If you breach this Agreement or engage in any behavior whatsoever which is, in our sole discretion, an abuse and/or in violation of the spirit of the G MILLION Games or is otherwise inappropriate or objectionable, we shall be entitled to, without prior notice, suspend your access to the G MILLION Services for an indefinite period of time, block your Account, terminate your access to the G MILLION Services, and/or terminate this Agreement immediately without prior notice.
7.Warranty disclaimers
We don’t make any guarantees about the Services.
To the maximum extent permitted by law the services are provided “As Is,” without warranty of any kind. Without limiting the foregoing, G MILLION explicitly disclaims any implied warranties of merchantability, fitness for a particular purpose, quite enjoyment and non-infringement, and any warranties arising out of course of dealing or usage of trade. G MILLION makes no warranty that the services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. G MILLION makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of the services.
8.Indemnity
You agree to indemnify (in other words, compensate for all and any losses incurred), pay the defense costs of, and hold the company parties and their employees, officers, directors, agents, contractors, and other representatives harmless from all claims, demands, actions, losses, liabilities, costs, and expenses (including, without limitation, attorneys’ fees, costs, and expert witnesses’ fees) that arise out of or in any way are connected with: (a) your access to or use of the services; or (b) any claim that, if true, would constitute a breach. You agree to reimburse us for any payments made or loss suffered by us.
9.Limitation of liability
The company parties will not be liable for any arising out of or in connection with the services, or the delay, or inability to use or lack of functionality of the services, even in the event of one of a company party’s fault, tort (including negligence), strict liability, indemnity, product liability, breach of contract, breach of warranty, or otherwise and even if that company party has been advised of the possibility of such damages.
a. Your only right to any problem or dissatisfaction with the services is to terminate your account and cease using the services.
b. Notwithstanding the preceding terms. If a court of competent jurisdiction considers the company to be liable (including gross negligence) against you or any third party; SUCH LIABILITY WILL BE LIMITED TO THE EXCEEDING OF DIRECT DAMAGES TO YOU (AND NOT EXCEEDING THE TOTAL COSTS YOU HAVE CONTRIBUTED TO US IN THE 3 MONTHS PRIOR TO YOUR FILLING OF THE COMPLAINT).
c. Nothing in these Terms of Service limits or excludes liability for death or personal injury caused by the Company's negligence, for fraud, or for any other liability that cannot be expressly limited or excluded legally.
10.Termination
Without limiting any other rights of G MILLION, this agreement will terminate automatically without prior notice if you fail to comply with any term or condition of this agreement or any agreements or policies referred herein. You may also terminate this agreement by deleting the G MILLION Games from all devices on which you've installed and immediately stop your use of the G MILLION Services. Upon any termination, you shall no longer exercise any of the rights granted to you and you must destroy all copies of the G MILLION Games in your possession.
Despite the termination/expiration of this Agreement, your obligations accumulated prior to the termination/expiration shall still be fulfilled by you. Also, all the rights and interests of G MILLION and the authorization (if any) granted to G MILLION shall still remain in effect and survive the termination of this agreement.
11.Governing law and dispute resolution
This agreement shall be governed by and construed under the laws of Thailand excluding its conflict of law principles.
12.No assignment
You may not assign or transfer, charge, or subcontract all or part of your rights under this agreement without G MILLION’s prior written consent. Otherwise, G MILLION can terminate your service at its own discretion without prior notice. If the transfer cannot be restricted under the laws of your country/region or residence, this agreement will bind you and your recipient. Notwithstanding the foregoing, G MILLION has the rights under this agreement at any time.
